Terms of Service

These terms cover the website and API at focxle.com, the focxle Python package, and paid plans.

1Agreement

Focxle operates focxle.com and api.focxle.com from India. By using the website, the API or the focxle package, you agree to these terms. If you are doing so for an employer or client, you confirm you may agree on their behalf. Contact: mrinal@focxle.com.

You must be old enough to enter a contract where you live, and not located anywhere that would make providing this service unlawful.

2The service

Focxle provides tools for measuring and controlling what AI agents spend, and infrastructure for agents to transact with one another. The focxle Python package is free, needs no account, and is released under the MIT licence, which governs your use of that code rather than this page.

Paid plans add spending limits and a hosted dashboard. Current plans and prices are on the pricing page. We may add, change or withdraw features; where a change materially reduces what a paid plan does, section 11 applies.

3Your account

You are responsible for keeping your account credentials secure and for activity that takes place under your account, including anything done by agents you deploy. Tell us at mrinal@focxle.com if you believe your credentials have been exposed and we will replace them.

4What you pay

  • Per agent that actually ran in the month. An agent you configured and never used is not charged.
  • Never a share of what you spend. We do not take a percentage of your vendor bill.
  • Monthly, in advance, renewing automatically until cancelled. Some plans carry a monthly minimum, shown on the pricing page.

We may change prices with at least 30 days' notice by email, taking effect at your next renewal. Cancel before then and you will not be charged the new price.

5Who takes the payment

Payments are processed by a merchant of record. That company is the seller for the transaction: it takes the payment, charges any tax due where you are, and issues your receipt, so the name on your statement will be theirs rather than Focxle. Their terms apply to the payment itself; these terms apply to the service you are paying for.

Card details are entered on the payment provider's own page and never reach us.

6Taxes

Prices are in US dollars and exclude tax. VAT, GST or sales tax is added at checkout where your country requires it, and is calculated and remitted by the merchant of record. Businesses with a valid tax registration number can enter it at checkout, where reverse-charge rules are available.

7Refunds

First payment on a paid plan

Full refund within 14 days, no reason needed. Email mrinal@focxle.com from the address on the account.

After that

Months already started are not refunded. The free tier exists so you can evaluate the product without paying. Cancel and you keep access until the end of the period you paid for.

If something went wrong

If you were billed for agents that did not run, or the service was unusable for a meaningful part of a billing period, write to us. We will check the records and refund what is fair, including outside the 14 days.

What cannot be refunded

Payments settled on a public blockchain. Those are final once confirmed and cannot be reversed by anyone, including us.

Refunds are returned by the route the payment arrived.

8Cancelling and ending the service

Cancel any time from your dashboard, in two clicks. No reason needed, nothing to write, and nobody to talk to. It takes effect at the end of the period you have already paid for, and nothing is charged after that. If you change your mind before then, the same screen puts the plan back. You can also email mrinal@focxle.com if you would rather.

A failed payment does not block your traffic. If a charge fails we will tell you, and your agents keep working. If it stays unpaid we may return the account to the free tier.

We may suspend or close an account that breaches section 9, that is being used to attack the platform or its users, or where we are legally required to. Unless the breach is severe or unlawful, we will give you a chance to put it right first. If we close a paid account for any reason other than your breach, we refund the unused part of the period.

You can ask us to delete your account at any time. What can and cannot be deleted is set out in the privacy policy.

9Acceptable use

Do not use the platform to:

  • break the law, launder money, evade sanctions, or fund anything unlawful
  • attack the service or its users, or attempt to reach another account's data
  • impersonate another party, forge an identity claim, or falsify spend, reputation or settlement records
  • resell or rebrand the hosted service as your own. Building on the API and the MIT-licensed package is encouraged
  • deploy agents you do not have authority to run, or run them against systems you do not have permission to use

Security research is welcome. Report findings to mrinal@focxle.com and allow a reasonable time to fix them, and we will not treat it as a breach.

10What is provided, and what is not promised

Cost figures are our own calculation, not your vendor's bill. They are based on usage reported by each vendor and a dated public rate table, and cannot reflect discounts or negotiated pricing we cannot see. Reconcile against your actual invoices. Nothing here is accounting, tax or financial advice.

Spending limits are applied on a reasonable-efforts basis and are a control on runaway cost rather than a guaranteed ceiling. They should not be the only thing between you and a large bill.

We do not hold or control your funds. Payments between agents settle directly between the parties involved. Focxle is not a bank, money transmitter, exchange or custodian, and does not offer those services. Where one agent transacts with another, that arrangement is between them; we provide the rails and the record and are not a party to it. You are responsible for your own tax and reporting obligations arising from it.

The service is provided as is, without warranty that it will be uninterrupted or error free. Paid plans do not currently include a contractual service level; contact us if you need one.

11Your content, and changes to these terms

You keep everything you own. Your agent names, configurations, policies and spend records are yours, and you grant us only the permission needed to run the service. The platform, the website and the brand are ours. Feedback you send us we may act on freely.

We will update these terms as the service changes, and the effective date above always reflects the current version. For a change that materially reduces your rights or raises your price, we will give at least 30 days' notice by email before it applies to you. Continuing to use the service after that means you accept it; if you do not, cancel and section 8 applies.

12Liability

To the extent the law allows, our total liability for any claim relating to the service is capped at what you paid us in the twelve months before it arose, or one hundred US dollars if you paid us nothing. We are not liable for indirect or consequential loss, including lost profits, lost data, or the cost of an agent overspending.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected.

13Governing law, and getting in touch

These terms are governed by the laws of India, and the courts of India have jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of the mandatory laws of your own country.
